Corporate Adivsory

Ensuring compliance with corporate legislation relating to fund raising, company accounts, directors' duties and compliance, incorporation, transactional work, risk management and business succession planning, franchising, partnerships and joint ventures.

Acquisitions, disposals & start-ups

Ensuring compliance with legal and regulatory requirements, facilitating transactions and due diligence, plus addressing the myriad of commercial issues that arise with such transactions.

Banking and finance

Our work for banks and other financial institutions covers all aspects of banking practice - facility & commitment letters, loan agreements, mortgage and other security documents, subordination documents, as well as debt recovery, debt-restructuring and banking litigation.

We also act for borrowers, including businesses and public and private institutions, advising on all aspects of their funding requirements, such as funding for acquisitions, re-financing, re-structuring or general working capital needs. We ensure that the borrowers we act for are fully aware of their obligations and liabilities to their lenders.

Commercial property

Our Commercial group provides expertise to developers in all areas of property law, including subdivision and development, strata property development and management.

Employment Law

We assist clients in all staffing issues such as:

  • Drafting or reviewing contracts of employment;
  • Advising on the use of restrictive covenants and confidentiality clauses, directors’ remuneration packages, bonus arrangements and share option schemes;
  • Reviewing and updating redundancy, disciplinary and grievance procedures
  • Providing practical advice on dealing with employees with performance issues

We assist and support clients in terminating employment contracts which we understand can be sensitive; taking into account any potential claim they might have or negotiating compromise agreements to facilitate a clean break.

When litigation cannot be avoided our dispute resolution and litigation group can handle the ensuing claims for unfair and wrongful dismissal, discrimination, equal pay, breach of contract and applications for injunctions to restrain breaches of post-termination obligations.

Intellectual Property

Our commercial clients, artists and musicians rely on us to protect intellectual property inside and outside of Jamaica. We serve your needs with respect to design, patent, trade marks, and service marks.

We will provide you with extensive services in relation to copyright and entertainment law, and all matters that may come your way if your creative work is pirated, "borrowed", counterfeited, passed off under another name, or in any way reproduced without your consent. In particular, we work assiduously to protect your intellectual property rights in commercial transactions.
